The topic of this paper is the protection of rights of shareholders within contracts concluded inside of a business corporation. The paper is focused on the legal regulation concerning conflict of interest within these contracts in the Czech Business Corporations Act, dividing it into two parts.
At first it deals with the general provisions of conflict of interest within the contracts concluded between a corporation and a member of a corporation's body, afterwards it follows up the special regulation concerning the acquisition of a property by the company from shareholders or founders aiming at protection of the registered capital of this company. This paper also outlines the draft of the new directive of the European Union setting down the conditions of related party transactions within a joint stock company listed on a stock exchange.
