Impact of Entry of Legal Person entry into Liquidation on its Legal Acts

Abstract

The article is an extended version of contribution "Restricting a Representative's Authorization when a Legal Person Enters into Liquidation for an Act that does not Fulfill the Purpose of Liquidation" which was published in the conference proceeding "Karlovarské právnické dny" 2019. The article focuses on the interpretation of sec. 188 in conjuction sec. 196(1) CC.

The author concludes that law does not limit legal capacity of liquidated legal person, nor limit representative's authorization, but only defines an interest of liquidated legal person which its representatives shall respect in negotiations.
