Directors'duties after the termination of the office

Abstract

The contribution deals with the duty of loyalty and the duty of care of the director of a private company after the termination of the director's function. It concludes that the former director has a duty of loyalty towards the company even though only in limited extent.

Thus, the former director is not allowed to disturb the position of the company gained during the performance of his function, so he is, e.g., obliged to maintain confidentiality. Furthermore, he must not utilize information and value acquired in the function, e.g. use corporate opportunities.
